01 Acceptance of Terms

Welcome to Promofy. These User Agreement & Terms of Service ("Terms") govern your access to and use of the Promofy website, mobile application, and all related products, services, features, and content (collectively referred to as the "Platform").

By accessing, browsing, registering an account, submitting information, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies published by Promofy. If you do not agree with any part of these Terms, you must immediately stop using the Platform.

These Terms apply to all users of the Platform, including but not limited to Businesses, Brands, Influencers, Content Creators, Digital Marketing Agencies, Hoarding Vendors, visitors, and any other person accessing Promofy.

By using Promofy, you represent and warrant that all information provided by you is true, accurate, complete, and up to date, and that you have the legal authority and capacity to enter into this agreement.

Promofy reserves the right to modify, update, replace, or discontinue any part of these Terms or the Platform at any time without prior notice. Continued use of the Platform after any modification constitutes your acceptance of the revised Terms.

If you are using the Platform on behalf of a company, organization, agency, partnership, or any other legal entity, you confirm that you have the authority to bind that entity to these Terms, and all references to "you" shall include both you and such entity.

02 About Promofy

Promofy is a technology-enabled marketing marketplace designed to connect Businesses, Brands, Influencers, Content Creators, Digital Marketing Agencies, and Hoarding Vendors through a single platform.

Promofy helps users discover marketing service providers, compare profiles, submit collaboration enquiries, and initiate business opportunities. The Platform is intended to simplify the process of finding suitable marketing partners and advertising solutions.

Promofy acts solely as an intermediary technology platform and does not operate as a marketing agency, talent management company, advertising agency, media buying agency, employer, contractor, representative, broker, or legal partner of any Buyer or Seller.

Unless explicitly stated otherwise in writing, Promofy does not negotiate commercial terms, guarantee collaborations, verify every claim made by users, supervise project execution, or become a party to any agreement entered into between Buyers and Sellers. All commercial discussions, negotiations, contracts, deliverables, timelines, taxes, invoices, and payments remain the sole responsibility of the respective parties.

Some public profiles displayed on the Platform, including certain Influencers, Content Creators, Macro Influencers, Public Figures, or Celebrities, may be created or maintained by Promofy using information obtained from publicly available sources, publicly accessible social media profiles, business communications, media publications, or information voluntarily shared with Promofy.

Such public profile listings are created only for discovery, visibility, and enquiry purposes. The appearance of any individual or organization on the Platform should not be interpreted as an endorsement, partnership, employment relationship, representation, exclusive association, or contractual affiliation with Promofy unless expressly stated.

If any listed individual, creator, agency, business, or organization wishes to claim, update, verify, correct, or request the removal of their profile or information, they may contact Promofy through the official contact details provided on the Platform. Promofy reserves the right to review such requests and take appropriate action at its sole discretion.

Promofy continuously improves its Platform and may introduce, modify, suspend, or discontinue features, services, categories, verification programs, subscription plans, commission models, payment facilities, integrations, or other functionalities without prior notice.

03 Eligibility

To use Promofy, you must be at least 18 years of age and legally capable of entering into a binding contract under the applicable laws of your jurisdiction. By creating an account or using the Platform, you represent and warrant that you satisfy these eligibility requirements.

If you are accessing or using Promofy on behalf of a company, brand, partnership, agency, organization, or any other legal entity, you confirm that you are authorized to act on behalf of such entity and to bind it to these Terms.

Users must provide accurate, complete, and up-to-date information during registration and while using the Platform. Providing false, misleading, impersonated, incomplete, or fraudulent information may result in suspension or permanent termination of the account without prior notice.

Promofy may require identity verification, business verification, social media verification, ownership verification, or any other reasonable verification process before approving, maintaining, or restoring an account or listing. Failure to complete any requested verification may result in delayed approval, restricted functionality, suspension, or rejection of the account.

You may not use Promofy if:

  • You are prohibited from entering into legally binding agreements under applicable law.
  • You intend to use the Platform for fraudulent, deceptive, unlawful, or unauthorized purposes.
  • You have previously been suspended or permanently removed from Promofy for violating these Terms or other Platform policies.
  • You attempt to create multiple accounts to bypass restrictions, suspensions, pricing plans, verification requirements, or other Platform controls.

Promofy reserves the right, at its sole discretion, to approve, reject, restrict, suspend, or terminate any account or listing if it reasonably believes that the user does not meet the eligibility requirements, has violated these Terms, or may expose the Platform or its users to legal, security, operational, or reputational risks.

Eligibility to access the Platform does not guarantee approval of any listing, verification status, visibility within search results, collaboration opportunities, enquiries, or commercial success.

04 User Accounts

To access certain features of Promofy, users may be required to create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep your account information updated whenever necessary.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, verification codes, and any other login information. You are responsible for all activities that occur under your account, whether authorized by you or not.

You must immediately notify Promofy if you suspect any unauthorized access, security breach, loss of credentials, or misuse of your account. Promofy shall not be liable for any loss or damage arising from your failure to maintain the security of your account.

Each individual, business, creator, agency, or organization should maintain only one genuine account for the same purpose unless expressly permitted by Promofy. Creating duplicate or misleading accounts to bypass Platform restrictions, verification, subscription plans, or enforcement actions is prohibited.

Certain Platform features, including Seller listings, profile visibility, verification status, premium features, or other services, may require manual review or approval by Promofy before becoming available. Registration does not automatically guarantee account approval, listing publication, verification, visibility, or access to all Platform features.

Promofy reserves the right to request additional information, identity verification, business verification, social media ownership verification, or supporting documents whenever reasonably required to maintain the integrity, security, and authenticity of the Platform.

Users remain responsible for ensuring that all information submitted through their account, including profile details, business information, pricing, descriptions, images, service offerings, and other content, is accurate, lawful, and does not infringe the rights of any third party.

Promofy may suspend, restrict, deactivate, or permanently terminate any account, temporarily or permanently remove associated listings, or limit access to Platform features if it reasonably believes that:

  • The account contains false, misleading, or incomplete information.
  • The account is being used fraudulently or unlawfully.
  • The account violates these Terms, applicable laws, or Platform policies.
  • The account creates security, legal, operational, or reputational risks for Promofy or other users.
  • Required verification or requested information is not provided within a reasonable period.

Account suspension or termination does not automatically remove any outstanding legal obligations, ongoing investigations, payment obligations, or liabilities arising from activities conducted before such suspension or termination.

05 Business / Buyer Responsibilities

Businesses, Brands, Advertisers, and other Buyers using Promofy are responsible for evaluating, selecting, and communicating with Influencers, Content Creators, Digital Marketing Agencies, Hoarding Vendors, or other service providers listed on the Platform. Buyers are expected to use the Platform honestly, professionally, and in accordance with these Terms and all applicable laws.

Buyers must provide accurate, complete, and genuine information while creating an account, submitting enquiries, requesting quotations, or communicating with Sellers. Misleading, false, or fraudulent enquiries are strictly prohibited.

Before entering into any collaboration, Buyers are solely responsible for reviewing the Seller's profile, pricing, portfolio, services, deliverables, timelines, and any other relevant information necessary for making an informed business decision. Promofy does not recommend, rank, certify, or guarantee that any Seller is suitable for a particular project unless explicitly stated otherwise.

Buyers acknowledge that all commercial negotiations, campaign discussions, contracts, deliverables, revisions, invoices, taxes, payments, intellectual property ownership, campaign performance, and project execution are matters solely between the Buyer and the respective Seller unless Promofy expressly agrees in writing to participate in a specific transaction.

Buyers agree not to:

  • Submit fake, misleading, spam, or non-genuine enquiries.
  • Use Promofy for unlawful, fraudulent, abusive, or deceptive activities.
  • Harass, threaten, impersonate, or misrepresent themselves while communicating with Sellers.
  • Upload content that infringes intellectual property, privacy, publicity, or any other legal rights.
  • Attempt to gain unauthorized access to another user's account or Platform systems.
  • Interfere with the normal operation, security, or integrity of the Platform.

Buyers are responsible for independently verifying whether a Seller, service, pricing, availability, portfolio, audience, campaign suitability, or other information meets their business requirements. Information displayed on the Platform should be considered informational and should not be interpreted as professional advice or a guarantee of future performance.

Promofy does not guarantee that a Buyer will receive responses to enquiries, successful collaborations, desired business outcomes, marketing performance, return on investment, or any specific commercial results from using the Platform.

Buyers remain solely responsible for complying with all applicable laws, advertising regulations, tax obligations, consumer protection requirements, and industry guidelines relevant to their campaigns and commercial activities.

06 Seller Responsibilities

Sellers on Promofy include, but are not limited to, Influencers, Content Creators, Digital Marketing Agencies, Hoarding Vendors, and other marketing service providers. By registering or maintaining a Seller account, you agree to comply with these Terms and all applicable laws, regulations, and industry standards.

Sellers are solely responsible for ensuring that all information provided on their profile or listing, including profile details, service descriptions, pricing, categories, portfolio images, business information, audience information, social media links, availability, and other content, is accurate, lawful, and kept reasonably up to date.

Sellers must only publish information that they have the legal right to use or share. Sellers are solely responsible for obtaining any permissions, licences, approvals, or rights necessary for the content, images, trademarks, logos, portfolio materials, and other information they upload or publish through the Platform.

Sellers agree to respond to genuine enquiries professionally and to communicate honestly regarding pricing, deliverables, timelines, revisions, availability, campaign expectations, and any applicable commercial terms.

Sellers acknowledge that displaying a profile or listing on Promofy does not guarantee profile visibility, enquiries, collaborations, campaign opportunities, business growth, or revenue.

Sellers must not:

  • Provide false, misleading, or deceptive information.
  • Misrepresent followers, audience demographics, engagement, campaign results, experience, or qualifications.
  • Upload copyrighted or unauthorized content.
  • Publish unlawful, offensive, abusive, defamatory, fraudulent, or misleading material.
  • Attempt to manipulate Platform rankings, search visibility, reviews, enquiries, or other Platform features through artificial or deceptive methods.
  • Use Promofy to conduct unlawful business activities or violate applicable advertising, consumer protection, intellectual property, tax, or other legal requirements.

Sellers remain solely responsible for fulfilling all commitments made to Buyers, including campaign execution, content delivery, revisions, communication, invoicing, taxation, regulatory compliance, and any contractual obligations arising from a collaboration.

Promofy may review, edit, temporarily restrict, suspend, remove, or permanently disable any Seller profile, listing, content, pricing information, portfolio, or account if it reasonably believes that such content violates these Terms, applicable laws, Platform policies, or creates legal, security, operational, or reputational risks for the Platform or its users.

Sellers are responsible for regularly reviewing their listings and ensuring that pricing, services, availability, portfolio content, and other business information remain accurate. Promofy is not responsible for outdated, incorrect, or incomplete information published by Sellers.

07 Listings & Profile Information

Promofy enables the creation, display, management, and discovery of business profiles, service listings, and marketing information for Businesses, Brands, Influencers, Content Creators, Digital Marketing Agencies, Hoarding Vendors, and other marketing service providers.

Listings may be created and managed directly by registered users, by authorized representatives, or, where appropriate, by Promofy for discovery and informational purposes using information reasonably believed to be publicly available, publicly communicated, or voluntarily provided to Promofy.

The appearance of a profile or listing on Promofy does not by itself indicate an endorsement, employment relationship, representation, agency relationship, partnership, exclusivity, verification, or contractual affiliation with Promofy, unless expressly identified as such.

Registered Sellers are responsible for reviewing and maintaining the accuracy of their own listings, including profile information, service descriptions, pricing, categories, availability, portfolio images, contact information, social media links, and other business details published through their account.

Promofy may organize, categorize, format, translate, optimize, moderate, or display listing information in a manner that improves searchability, consistency, readability, user experience, or Platform functionality, provided that such actions do not intentionally misrepresent the underlying information.

Pricing, availability, audience statistics, portfolio samples, service descriptions, follower counts, campaign information, and other listing details may change over time. Promofy does not guarantee that information displayed on any listing will always be current, complete, or accurate, and users should independently confirm relevant commercial information before entering into any collaboration.

If any individual, creator, business, agency, organization, or authorized representative believes that a profile contains inaccurate information, infringes their rights, or should be updated, claimed, verified, or removed, they may contact Promofy through the official support channels. Promofy may request reasonable verification before processing such requests and reserves the right to approve, reject, modify, restrict, or remove any listing at its sole discretion.

Promofy reserves the right to refuse publication, edit, temporarily hide, suspend, or permanently remove any listing or profile that violates these Terms, infringes the rights of others, contains unlawful or misleading information, creates legal, security, operational, or reputational risks, or otherwise conflicts with Platform policies.

Users acknowledge that Promofy is a discovery and enquiry platform. The availability of a profile or listing on the Platform should not be interpreted as a guarantee of availability, pricing, responsiveness, collaboration, campaign acceptance, business outcome, or commercial performance.

08 Enquiries & Collaborations

Promofy provides a technology platform that enables Businesses, Brands, Influencers, Content Creators, Digital Marketing Agencies, Hoarding Vendors, and other users to discover each other and initiate business enquiries. Promofy facilitates discovery and communication but is not a contracting party to collaborations between users, unless expressly agreed otherwise in writing.

Buyers may submit enquiries through the Platform based on their marketing requirements. Sellers may review such enquiries and decide, at their sole discretion, whether to respond to, negotiate, accept, or decline any opportunity. Likewise, Buyers are under no obligation to proceed with any Seller after submitting an enquiry.

All commercial discussions, negotiations, quotations, pricing confirmations, campaign planning, deliverables, revisions, timelines, approvals, invoices, taxes, intellectual property arrangements, and other contractual terms are solely the responsibility of the respective Buyer and Seller.

Unless expressly stated otherwise by Promofy, the Platform does not guarantee that:

  • Any enquiry will receive a response.
  • Any collaboration will be accepted or completed.
  • Any listed pricing, availability, or service information will remain unchanged.
  • Any campaign will achieve expected marketing or commercial results.
  • Any user will enter into or successfully complete a transaction.

Users are solely responsible for independently verifying the identity, suitability, availability, pricing, deliverables, timelines, portfolio, audience information, business credentials, and all other commercial details before entering into any collaboration or making any payment.

Promofy may, at its discretion, assist in facilitating communication, forwarding enquiries, providing operational support, or helping users connect with one another. Such assistance does not create any agency, partnership, fiduciary duty, guarantee, or legal responsibility on the part of Promofy for the outcome of any collaboration.

Any agreement, payment arrangement, purchase order, contract, invoice, statement of work, or other commercial relationship entered into between users exists solely between those parties. Promofy shall not be responsible for any dispute relating to pricing, payment, delays, cancellations, quality of work, campaign performance, intellectual property ownership, non-performance, or any other contractual matter arising between users.

Promofy reserves the right to restrict, suspend, remove, or refuse enquiries, communications, listings, or collaborations that appear to violate these Terms, applicable laws, Platform policies, or that may expose the Platform or its users to legal, security, operational, or reputational risks.

09 Pricing Information

Promofy displays pricing and commercial information for discovery and informational purposes only. Prices, rates, service packages, availability, and other commercial details displayed on the Platform may change at any time without prior notice and should not be interpreted as a binding quotation, offer, or contract.

Pricing displayed on Seller profiles may be provided directly by the Seller, updated by an authorized representative, or maintained by Promofy based on information reasonably believed to be available through legitimate business communications or other appropriate sources. Such pricing should always be confirmed with the respective Seller before making any commercial decision.

Certain listings may display pricing as "On Request", "Contact for Price", or similar wording where final commercial terms are subject to discussion, availability, campaign requirements, deliverables, location, duration, or other factors determined by the Seller.

Promofy does not guarantee that any displayed pricing, discounts, packages, campaign costs, audience statistics, or commercial information will remain current, accurate, available, or applicable to every project. Users are solely responsible for independently verifying all commercial details before entering into any collaboration or making any payment.

Business Owners currently have access to explore and use the Platform without any subscription fee unless otherwise announced by Promofy. Promofy reserves the right to introduce, modify, discontinue, or revise pricing models, subscription plans, commissions, premium services, or other commercial offerings at any time in accordance with these Terms.

Promofy may introduce subscription plans, featured listings, promotional services, advertising products, commission-based services, payment processing, premium visibility, verification programs, or other paid features in the future. The applicable pricing and conditions for such services will be communicated separately before they become effective.

Unless expressly stated otherwise by Promofy in writing, all final pricing, negotiations, discounts, payment terms, taxes, revisions, deliverables, and commercial agreements remain solely between the Buyer and the respective Seller. Promofy is not responsible for any pricing disputes or changes agreed between users outside the Platform.

10 Payments & Commercial Transactions

Promofy is primarily a discovery and enquiry platform. Unless expressly stated otherwise by Promofy, commercial transactions between Buyers and Sellers are conducted directly between the respective parties, and Promofy is not a party to such agreements or transactions.

Buyers and Sellers are solely responsible for negotiating and agreeing upon pricing, payment schedules, taxes, invoices, deliverables, timelines, revisions, intellectual property rights, cancellations, refunds, and all other commercial terms relating to their collaboration.

Where Promofy introduces Platform-based payment services, subscriptions, commissions, featured listings, verification programs, premium features, or other paid services, users agree to comply with the applicable pricing, payment terms, refund policies, and additional conditions communicated at the time of purchase.

Promofy may engage third-party payment gateways, payment processors, banking partners, or financial service providers to facilitate payments. Such payment services are subject to the respective third-party terms, privacy policies, and security practices. Promofy is not responsible for any interruption, failure, delay, chargeback, banking issue, payment gateway error, or technical problem occurring within third-party payment systems.

Unless expressly stated otherwise, all Platform fees, subscriptions, commissions, taxes, gateway charges, and other applicable charges are non-refundable after successful processing. Any exceptions or promotional refund policies announced by Promofy shall apply only to the specific service for which they are published.

Users remain solely responsible for complying with all applicable tax laws, accounting requirements, invoicing obligations, GST requirements, withholding obligations, and other financial or regulatory responsibilities arising from their commercial activities conducted through or outside the Platform.

Promofy does not guarantee the completion of any payment, collaboration, campaign, or commercial transaction between users. Any dispute regarding pricing, payment, refunds, invoices, taxes, campaign performance, non-payment, delayed payment, or breach of commercial terms shall be resolved directly between the respective Buyer and Seller unless Promofy expressly agrees in writing to intervene.

Promofy reserves the right to suspend, restrict, delay, reverse (where legally permitted), or withhold access to certain paid Platform features if fraudulent, unauthorized, suspicious, disputed, or unlawful payment activity is reasonably suspected, or where required by applicable law or a competent authority.

11 User-Generated Content

Users may upload, submit, publish, or otherwise make available various types of content on Promofy, including but not limited to profile information, business details, service descriptions, pricing, portfolio images, logos, photographs, videos, documents, social media links, contact information, reviews, enquiries, messages, and other materials ("User Content").

You retain ownership of your User Content. However, by submitting or publishing User Content on the Platform, you grant Promofy a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, modify, format, translate, optimize, distribute, and otherwise use such User Content solely for operating, maintaining, improving, promoting, securing, and providing the Platform and its related services.

You represent and warrant that you own or otherwise have all necessary rights, permissions, licenses, and legal authority to upload, publish, or share the User Content submitted by you, and that such content does not violate any applicable law or infringe the intellectual property, privacy, publicity, contractual, or other rights of any third party.

Users are solely responsible for the accuracy, legality, quality, reliability, and consequences of the User Content they submit. Promofy does not endorse, verify, guarantee, or assume responsibility for User Content published by users.

Promofy reserves the right, but not the obligation, to review, moderate, edit, reformat, organize, categorize, temporarily restrict, remove, or refuse any User Content that, in Promofy's reasonable opinion, violates these Terms, applicable laws, Platform policies, or may expose the Platform or its users to legal, security, operational, or reputational risks.

Users must not upload or publish any content that is unlawful, fraudulent, misleading, defamatory, abusive, obscene, harmful, discriminatory, infringes third-party rights, contains malicious software, or otherwise violates applicable laws or these Terms.

If you believe that any content available on Promofy infringes your intellectual property rights or other legal rights, you may notify Promofy using the official contact details provided on the Platform. Promofy may request reasonable supporting information before reviewing and taking appropriate action.

Promofy may continue to retain copies of User Content where reasonably necessary to comply with legal obligations, resolve disputes, enforce these Terms, maintain security, or comply with backup, archival, or regulatory requirements, even after an account or listing has been removed.

12 Prohibited Activities

Users must use Promofy responsibly, lawfully, and in accordance with these Terms. You agree not to engage in any activity that may harm the Platform, its users, business operations, reputation, or applicable legal obligations.

Without limitation, you must not:

  • Create fake, misleading, impersonated, or unauthorized accounts or profiles.
  • Provide false, inaccurate, fraudulent, deceptive, or intentionally misleading information.
  • Misrepresent followers, audience statistics, engagement, campaign performance, pricing, business credentials, qualifications, experience, or any commercial information.
  • Upload, publish, distribute, or transmit content that is unlawful, defamatory, abusive, obscene, threatening, discriminatory, hateful, fraudulent, or otherwise objectionable.
  • Upload content that infringes any copyright, trademark, privacy, publicity, contractual, or other intellectual property rights of any person or organization.
  • Use automated bots, scrapers, crawlers, scripts, or similar technologies to access, copy, monitor, extract, or misuse Platform data without prior written authorization from Promofy.
  • Attempt to bypass Platform security, authentication systems, account restrictions, subscription controls, verification processes, rate limits, or technical safeguards.
  • Introduce viruses, malware, ransomware, malicious code, or any technology intended to damage, interrupt, overload, or interfere with the Platform or its users.
  • Reverse engineer, decompile, copy, modify, reproduce, mirror, or create derivative works from any part of the Platform except where expressly permitted by applicable law.
  • Collect, harvest, sell, distribute, or misuse personal information of other users without their consent or legal authorization.
  • Use the Platform for spam, unsolicited marketing, phishing, scams, money laundering, illegal financial activities, or any unlawful commercial purpose.
  • Interfere with, disrupt, manipulate, or attempt to unfairly influence search rankings, visibility, recommendations, enquiries, reviews, Platform analytics, or any other Platform functionality.
  • Use Promofy in any manner that violates applicable laws, advertising regulations, consumer protection laws, tax regulations, data protection requirements, or other legal obligations.
  • Encourage, assist, facilitate, or attempt any activity that violates these Terms or applicable laws.

Promofy reserves the right, at its sole discretion and without prior notice where reasonably necessary, to investigate suspected violations of these Terms and to restrict, suspend, terminate, remove content, disable listings, preserve relevant records, or take any other appropriate action to protect the Platform, its users, and its legitimate business interests.

Where required by applicable law, court order, or a lawful request from a competent governmental or regulatory authority, Promofy may cooperate with such authorities and disclose relevant information in accordance with applicable legal requirements.

13 Intellectual Property

Unless otherwise stated, the Promofy Platform, including its name, logo, branding, trademarks, trade dress, website, mobile application, software, source code, databases, user interface, user experience, design elements, graphics, icons, layouts, text, features, functionality, compilations, and all related intellectual property are owned by or licensed to Promofy and are protected by applicable intellectual property, copyright, trademark, and other laws.

Subject to these Terms, Promofy grants users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Platform solely for its intended purpose. No ownership or intellectual property rights are transferred to users by virtue of accessing or using the Platform.

Except with Promofy's prior written permission or as otherwise permitted by applicable law, users must not:

  • Copy, reproduce, republish, distribute, modify, sell, license, or commercially exploit any part of the Platform.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, algorithms, or underlying technology of the Platform.
  • Copy or substantially reproduce the Platform's layout, design, branding, database structure, user interface, search structure, or other proprietary elements.
  • Use automated tools, bots, crawlers, scrapers, APIs, or similar technologies to extract, copy, collect, index, or republish Platform data without written authorization.
  • Remove, alter, conceal, or misuse any copyright, trademark, branding, ownership notice, or proprietary designation appearing on the Platform.
  • Use the Promofy name, logo, trademarks, branding, or other intellectual property in a manner that may cause confusion, imply endorsement, or misrepresent any relationship with Promofy.

Users retain ownership of the content they lawfully submit to the Platform. However, User Content remains subject to the license granted to Promofy under these Terms for the operation, maintenance, improvement, promotion, and security of the Platform.

Intellectual property rights relating to campaigns, creative works, marketing materials, advertisements, photographs, videos, graphics, deliverables, or other commercial work created as part of a collaboration remain governed by the separate agreement between the respective Buyer and Seller. Promofy does not claim ownership of such deliverables unless expressly agreed otherwise in writing.

If you believe that any material available on the Platform infringes your intellectual property rights, you may notify Promofy using the official contact details provided on the Platform. Upon receiving a sufficiently detailed notice, Promofy may investigate the matter and take appropriate action where reasonably required.

Nothing in these Terms grants any user the right to use Promofy's intellectual property except as expressly permitted herein.

14 Third-Party Links & Services

The Platform may contain links to, integrate with, or provide access to third-party websites, applications, social media platforms, payment gateways, communication services, mapping services, analytics providers, hosting providers, cloud services, or other products and services operated by independent third parties.

Such third-party links and services are provided solely for user convenience and informational purposes. Their inclusion on the Platform does not constitute or imply any endorsement, recommendation, approval, sponsorship, partnership, or guarantee by Promofy unless expressly stated otherwise.

Promofy does not own, operate, manage, or control third-party platforms and is not responsible for their availability, security, content, policies, functionality, pricing, privacy practices, terms of use, products, services, or business practices. Users access and use such third-party services entirely at their own discretion and risk.

Sellers may include links to their official websites, social media profiles, portfolios, communication channels, or other business resources. Buyers are responsible for independently verifying the authenticity, ownership, and suitability of such third-party resources before relying upon them or entering into any commercial relationship.

Promofy shall not be responsible or liable for any loss, damage, delay, fraud, interruption, data breach, payment failure, campaign outcome, or other dispute arising from the use of or reliance upon any third-party website, application, service, platform, payment gateway, or communication channel.

Your interactions with third-party platforms and service providers are governed by their respective terms, privacy policies, and other applicable agreements. Promofy encourages users to review those documents before using any third-party service.

Promofy reserves the right to add, remove, replace, modify, suspend, or discontinue integrations with any third-party service at any time without prior notice where reasonably necessary for operational, technical, legal, security, or business reasons.

15 Suspension / Termination

Promofy reserves the right, at its sole discretion and where reasonably necessary, to suspend, restrict, deactivate, or permanently terminate any user account, listing, enquiry, profile, feature access, or other Platform functionality if it reasonably believes that a user has violated these Terms, applicable laws, Platform policies, or engaged in conduct that may harm Promofy, its users, or its legitimate business interests.

Without limitation, Promofy may take such action where it reasonably believes that:

  • The user has provided false, misleading, fraudulent, or incomplete information.
  • The account is being used for unlawful, deceptive, abusive, or unauthorized purposes.
  • The user has infringed intellectual property rights, privacy rights, publicity rights, or other legal rights of any person or organization.
  • The user has repeatedly violated these Terms or other Platform policies.
  • Required verification, supporting information, or reasonable compliance requests have not been completed.
  • The account, listing, or activity creates legal, security, operational, technical, or reputational risks for Promofy or its users.
  • Promofy is required to act by applicable law, a court order, or a lawful request from a competent authority.

Depending on the circumstances, Promofy may issue warnings, temporarily suspend specific Platform features, remove individual listings or content, restrict account access, or permanently terminate an account. Promofy is not obligated to provide prior notice where immediate action is reasonably necessary to protect the Platform, its users, or comply with legal obligations.

Users may discontinue their use of the Platform and request account closure at any time by contacting Promofy or by using any account deletion functionality made available through the Platform. Account closure does not automatically remove or affect any legal obligations, payment obligations, ongoing investigations, or liabilities that arose before such closure.

Promofy may retain certain information after suspension or termination where reasonably necessary to comply with applicable laws, resolve disputes, enforce these Terms, detect or prevent fraud, maintain security, fulfill regulatory obligations, or preserve backup and business records.

Suspension or termination of an account shall not limit any other legal or equitable rights or remedies available to Promofy under these Terms or applicable law.

16 Disclaimer

The Promofy Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Promofy makes no representations or warranties, express or implied, regarding the availability, accuracy, completeness, reliability, suitability, security, uninterrupted operation, or fitness of the Platform or any content, listings, profiles, enquiries, or services made available through it.

Promofy is a technology-enabled discovery and enquiry platform. Unless expressly stated otherwise in writing, Promofy does not guarantee the identity, availability, quality, qualifications, experience, pricing, portfolio, audience statistics, campaign performance, responsiveness, business practices, or commercial suitability of any user, listing, or service provider available on the Platform.

Any information displayed on the Platform, including profiles, pricing, follower counts, audience information, portfolios, ratings, service descriptions, availability, or other commercial details, is provided for general informational purposes and should not be interpreted as professional advice, a recommendation, or a guarantee of future performance or commercial outcomes.

Users are solely responsible for independently evaluating, verifying, and confirming all relevant information before entering into any collaboration, making any payment, relying upon any listing, or taking any business decision based on information available through the Platform.

Promofy does not guarantee that:

  • Any enquiry will receive a response.
  • Any collaboration will be accepted or successfully completed.
  • Any listed pricing or availability will remain unchanged.
  • Any marketing campaign will achieve specific business results.
  • The Platform will always operate without interruption, delay, error, or technical issues.

To the extent permitted by applicable law, Promofy disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability, except where such warranties cannot lawfully be excluded.

Nothing in these Terms excludes or limits any rights or remedies that cannot be excluded or limited under applicable law.

17 Limitation of Liability

To the fullest extent permitted by applicable law, Promofy, its owners, affiliates, directors, employees, contractors, licensors, service providers, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or relating to your access to, use of, inability to use, or reliance upon the Platform or any information, listing, enquiry, profile, collaboration, or service made available through it.

This limitation includes, without limitation, any loss of business, revenue, profits, goodwill, reputation, customers, opportunities, data, anticipated savings, contracts, marketing results, or any other commercial or economic loss, whether arising in contract, tort (including negligence), statute, or otherwise.

Promofy shall not be responsible for any dispute, claim, damage, delay, non-performance, cancellation, misrepresentation, fraud, payment issue, intellectual property dispute, campaign outcome, or other matter arising between Buyers, Sellers, or any other users of the Platform.

Promofy shall also not be liable for any loss or damage resulting from:

  • Errors, omissions, inaccuracies, or outdated information on the Platform.
  • Temporary unavailability, interruption, delay, maintenance, or technical failure of the Platform.
  • Unauthorized access, hacking, malware, viruses, cyberattacks, or security incidents beyond Promofy's reasonable control.
  • Actions, omissions, products, services, or conduct of any third-party platform, payment provider, advertiser, hosting provider, or external service.
  • Any business decision or commercial transaction made by users based on information available through the Platform.

Where applicable law does not permit the exclusion or limitation of certain liabilities, the above limitations shall apply only to the maximum extent permitted by such law.

Nothing in these Terms shall exclude or limit liability for matters that cannot legally be excluded or limited under applicable law.

18 Indemnification

You agree to defend, indemnify, and hold harmless Promofy, its owners, affiliates, directors, officers, employees, contractors, licensors, service providers, and partners from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable legal and professional fees) arising out of or relating to:

  • Your access to or use of the Platform.
  • Your violation of these Terms, Platform policies, or applicable laws.
  • Your User Content, listings, profile information, pricing, portfolio materials, advertisements, campaigns, or other content submitted or published by you.
  • Your infringement or alleged infringement of any intellectual property, privacy, publicity, contractual, or other legal rights of any third party.
  • Your commercial transactions, collaborations, campaigns, products, services, payments, or disputes with other users.
  • Your negligent, fraudulent, misleading, unlawful, or intentional misconduct.
  • Any taxes, regulatory obligations, or legal compliance requirements arising from your business activities.

Promofy reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. In such circumstances, you agree to cooperate fully with Promofy in the investigation, defence, settlement, or resolution of the matter.

Your indemnification obligations shall survive the suspension, termination, or closure of your account and shall continue for as long as necessary to resolve the relevant claim, dispute, investigation, or legal proceeding.

Nothing in this Section shall require you to indemnify Promofy for losses that are finally determined by a court of competent jurisdiction to have resulted solely from Promofy's own intentional misconduct or gross negligence, where such limitation is required under applicable law.

19 Changes to the Service or Terms

Promofy continuously develops and improves the Platform. We reserve the right, at our sole discretion, to add, modify, suspend, replace, discontinue, or remove any part of the Platform, including features, services, categories, pricing models, subscription plans, commission structures, verification programs, payment facilities, integrations, user interface, functionality, content, or technical infrastructure, at any time.

Promofy may also revise, update, or replace these Terms from time to time to reflect changes in our business operations, Platform features, legal requirements, security practices, or other operational needs.

Where reasonably practicable, material changes to these Terms may be communicated through the Platform, website, mobile application, email, or other appropriate communication channels. However, users are responsible for periodically reviewing the latest version of these Terms.

Your continued access to or use of the Platform after updated Terms become effective constitutes your acceptance of those revised Terms. If you do not agree with the revised Terms, you must discontinue using the Platform.

Promofy may introduce new services or features that are subject to additional terms, policies, guidelines, or commercial conditions. Where applicable, such additional terms shall form part of these Terms and will apply only to the relevant service or feature.

Any delay or failure by Promofy to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available to Promofy under these Terms or applicable law.

20 Governing Law & Dispute Resolution

These Terms, your access to and use of the Platform, and any dispute, claim, or controversy arising out of or relating to the Platform or these Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Before initiating any formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes amicably through good-faith discussions. A user wishing to raise a dispute should first contact Promofy using the official contact details provided on the Platform and provide sufficient information regarding the issue.

If a dispute cannot be resolved through mutual discussions within a reasonable period, either party may pursue such legal remedies as may be available under applicable law.

Subject to applicable law, the courts having jurisdiction over Ahmedabad, Gujarat, India shall have exclusive jurisdiction to hear and determine any dispute, claim, or legal proceeding arising out of or relating to these Terms or the use of the Platform.

Nothing in this Section shall prevent Promofy from seeking interim, injunctive, or other equitable relief from any court of competent jurisdiction where reasonably necessary to protect its intellectual property, confidential information, Platform security, business interests, or other legal rights.

Nothing in these Terms limits or excludes any statutory rights or remedies that cannot lawfully be excluded under applicable law.
